Copyright & Licensing Agreement
Floriday Creations aka Laura Stamper
Effective Date: January 1, 2025

This Copyright & Licensing Agreement ("Agreement") is a legal contract between Floriday Creations (FloridayCreations) aka Laura Stamper ("Licensor") and any individual or entity ("Licensee") that purchases or downloads digital artwork and illustrations created by the Licensor. By purchasing, downloading, or using any digital art from Floriday Creations, Licensee agrees to the following terms and conditions:

1. Ownership & Copyright

All digital artwork, illustrations, and designs sold or provided by Floriday Creations remain the sole intellectual property of Laura Stamper. Licensee is granted a limited, non-exclusive, non-transferable license to use the digital files under the conditions outlined in this Agreement. This does not constitute a transfer of ownership or copyright.

2. Permitted Use

Licensee is authorized to use the digital artwork under the following conditions:

• Personal and commercial use is allowed to create physical products (e.g., mugs, t-shirts, prints, tumblers, etc.).

• Commercial use is only permitted when the design is incorporated into a tangible, final product.

• No credit or attribution is required when using the designs for allowed purposes.

3. Prohibited Uses

Licensee MAY NOT:

1. Resell, redistribute, or share the digital file(s) in any format, whether free or for sale.

2. Alter, edit, or modify the artwork and claim it as their own.

3. Use the digital files to create new digitial products for sale, including but not limited to:

   • Digital prints

   • Editable templates

   • AI-generated artwork or machine-learning datasets

   • NFTs (Non-Fungible Tokens) or blockchain-based assets

4. Transfer, sublicense, or allow third parties to use the digital file(s).

5. Use the artwork in direct competition with Floriday Creations, such as selling similar digital files or products that imitate the design.

6. Mass-produce products using the artwork (over 500 units) without an extended commercial license.

7. Claim copyright ownership of any Floriday Creations artwork.

4. Legal Enforcement & DMCA Compliance

Violations of this Agreement will result in legal action. Floriday Creations reserves the right to enforce copyright protections using all legal means available, including but not limited to:

​

• Issuing DMCA takedown notices to platforms hosting infringing content.

• Contacting payment processors, websites, and marketplaces to remove unauthorized listings.

• Seeking financial damages for copyright infringement.

​

Prior to taking legal action, Licensor will attempt to contact the violator first and request immediate removal of the infringing content. If the violator fails to comply, legal steps will follow.

​

5. Refund Policy

Due to the nature of digital products, all sales are final. No refunds, exchanges, or cancellations will be granted once a file has been downloaded or transferred to the licensee.

6. Governing Law

This Agreement is governed by the laws of the state of Florida, USA. Any disputes arising from this Agreement shall be resolved in a court of competent jurisdiction within the state of Florida.

7. Agreement Acceptance

By purchasing, downloading, or using any digital artwork from Floriday Creations, Licensee acknowledges that they have read, understood, and agreed to these terms and conditions.
